1. Acceptance of Terms
By accessing or using OneHolo.ai, requesting information, submitting a contact form, requesting a
pilot or demo, accessing an investor portal, reviewing data room materials, signing documents
electronically, communicating with OneHolo, or using any OneHolo website, software-enabled service,
material, document, or digital experience, you agree to these Terms of Service.
These Terms apply together with any additional agreement, order form, pilot agreement, service
agreement, confidentiality agreement, subscription agreement, investor document, data processing
agreement, business associate agreement, or other written agreement that applies to your relationship
with OneHolo.
If you do not agree to these Terms, do not access or use OneHolo.ai, the investor portal, customer
inquiry pages, pilot materials, data room materials, or related services.
2. Company Information
OneHolo.ai is operated by OneHolo, Inc., a Delaware corporation. References to
"OneHolo," "OneHolo.ai," "Company," "we," "us," or "our" mean OneHolo, Inc. and its authorized
representatives, employees, contractors, service providers, and affiliates as applicable.
References to "you," "your," "user," "visitor," "customer," "pilot office," "investor," "partner,"
"vendor," "authorized recipient," or "recipient" mean any individual or entity that accesses or
uses OneHolo.ai or related OneHolo materials, portals, services, or communications.
3. Services Covered by These Terms
These Terms apply to OneHolo websites, portals, content, documents, services, and communications, including:
- OneHolo.ai and any related landing pages, customer pages, investor pages, pilot pages, contact forms, demo pages, or pre-registration pages;
- Customer inquiry forms, pilot applications, demo requests, business intake materials, and service-option communications;
- Investor portal access, gated investor materials, and confidential data room files;
- AI-assisted customer operations concepts, holographic and avatar-based interfaces, kiosk workflows, web workflows, and communication workflows;
- Product, pilot, demo, pricing, business, marketing, technical, and commercial materials;
- Electronic signature flows for NDA, pilot documents, customer documents, service agreements, investor documents, or other applicable documents;
- Pre-order, pilot-office, customer, investor, partner, vendor, and integration-related communications.
Certain services or transactions may be governed by separate written agreements. If a separate signed
agreement conflicts with these Terms, the separate signed agreement controls only for the specific
subject matter covered by that agreement.
4. Eligibility, Accounts, and Authority
4.1 Eligibility
You must be at least 18 years old and have legal capacity to enter into binding agreements. If you
access OneHolo on behalf of a business, practice, organization, investor group, fund, vendor, partner,
or other entity, you represent that you have authority to act on behalf of that entity.
4.2 Accuracy of Information
You agree to provide accurate, complete, and current information when requesting access, submitting
forms, creating accounts, signing documents, requesting a pilot or demo, requesting investor portal
access, or communicating with OneHolo.
4.3 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity
under your account. You must promptly notify OneHolo of any suspected unauthorized access, credential
compromise, misuse, or security incident.
5. Customer, Pilot, and Service Inquiries
OneHolo may allow businesses, healthcare offices, service providers, and other organizations to request
information, request a demo, join a waitlist, apply for a pilot, request pricing, or discuss potential
service deployments. Submission of an inquiry does not guarantee acceptance, availability, pricing,
timing, pilot approval, technical feasibility, or service delivery.
Any customer, pilot, subscription, deployment, hardware, integration, support, or service relationship
must be confirmed through applicable written documentation, which may include intake forms, order forms,
invoices, subscription terms, pilot agreements, service agreements, technical requirements, and
implementation schedules.
OneHolo may approve, deny, defer, prioritize, condition, modify, or discontinue pilot or service
opportunities in its discretion, subject to applicable written agreements.
6. Investor Portal and Confidential Data Room
OneHolo may provide a secure investor portal or data room for qualified prospective investors, advisors,
strategic partners, and other authorized recipients. Access is discretionary and may be approved, denied,
limited, suspended, or revoked by OneHolo at any time.
6.1 Investor Access Flow
The investor portal may require you to:
- Submit an access request;
- Verify your email through a secure process;
- Create a password and complete requested profile information;
- Sign OneHolo's NDA or confidentiality agreement before viewing confidential materials;
- Receive administrative approval before accessing restricted materials;
- Complete investor qualification, suitability, or compliance steps before receiving transaction documents;
- Sign applicable transaction documents electronically, if you elect to proceed and OneHolo authorizes access;
- Await OneHolo review, acceptance, and countersignature before any funding instructions are released.
Funding or payment instructions for any investment transaction should not be provided automatically
through a public or ungated website page. If applicable, such instructions will be released manually
only after appropriate review, approval, acceptance, and countersignature by OneHolo.
6.2 No Public Access to Restricted Files
Confidential documents, data room materials, legal documents, investor documents, pilot documents,
technical materials, proprietary workflows, and other restricted materials must not be publicly indexed,
publicly linked, copied, forwarded, uploaded to public tools, or shared outside the authorized access
flow.
7. Securities Disclaimer
Nothing on OneHolo.ai, in any public website page, investor portal, data room, pitch material,
communication, demo, or presentation constitutes an offer to sell securities or a solicitation of an
offer to buy securities unless expressly made through appropriate legal documentation and in compliance
with applicable securities laws.
Any investment opportunity, if available, will be made only through definitive legal documents and only
to persons or entities who satisfy applicable eligibility, qualification, suitability, accreditation,
jurisdictional, and compliance requirements as determined by OneHolo and its counsel.
Investment in an early-stage private company is speculative, illiquid, and involves a high degree of
risk, including possible loss of the entire investment. You should consult your own legal, tax,
accounting, investment, and financial advisors before making any investment decision.
OneHolo may accept, reject, reduce, condition, delay, or revoke any investment subscription or access
request in its sole discretion, subject to applicable law and definitive transaction documents.
8. AI-Assisted Services and Platform Boundaries
OneHolo develops and presents AI-assisted customer-facing operations workflows, including holographic,
avatar-based, kiosk, web, mobile, communication, and workflow-support interfaces. OneHolo may use
artificial intelligence, automation, voice technologies, natural language systems, routing tools,
analytics, integration APIs, and third-party services to support customer-facing operations.
8.1 No Guarantee of Accuracy or Outcome
AI-generated or AI-assisted outputs may be incomplete, inaccurate, delayed, unavailable, misunderstood,
misinterpreted, or inappropriate for certain contexts. Users are responsible for human review,
professional judgment, operational oversight, and escalation of sensitive or high-risk matters.
8.2 Human Oversight Required
OneHolo is designed to support customer operations, not to replace professional judgment, licensed
personnel, emergency services, compliance staff, legal counsel, financial advisors, or required human
decision-making. Businesses using OneHolo are responsible for training, configuration, monitoring,
script approval, privacy notices, escalation protocols, and compliance procedures.
8.3 No Deceptive Use
You may not use OneHolo to deceive, impersonate, defraud, misrepresent identity, generate fake reviews,
fabricate testimonials, make unsupported claims, or create misleading communications.
9. Healthcare, Dental, and Clinical Boundaries
OneHolo may be used in healthcare-adjacent environments such as dental offices, medical offices,
optometry, chiropractic, pharmacy, wellness, and other service businesses. Unless expressly agreed in
a signed written agreement and configured under applicable compliance requirements, OneHolo does not
provide medical, dental, clinical, legal, financial, or emergency advice.
- OneHolo is not a substitute for licensed healthcare professionals.
- OneHolo does not diagnose, treat, prescribe, or make clinical decisions.
- OneHolo should not be used for emergencies or urgent medical decision-making.
- Clinical, emergency, financial, legal, privacy-sensitive, and upset-customer matters should be escalated to appropriate human personnel.
- Customer-facing and patient-facing scripts must be reviewed and approved by the applicable business or healthcare provider.
If you are experiencing a medical, dental, psychiatric, or other emergency, call emergency services or
contact a licensed professional immediately.
10. Pricing, Payments, Subscriptions, and Taxes
Public website content, product descriptions, examples, demos, marketing materials, or general
communications do not guarantee specific pricing, availability, service scope, hardware configuration,
integration timing, subscription terms, refund rights, cancellation rights, or implementation results.
Fees, deployment terms, subscription fees, usage fees, hardware costs, integration costs, pilot fees,
deposits, refund terms, cancellation rights, taxes, and payment obligations will be stated in applicable
order forms, invoices, pilot documents, service agreements, subscription terms, or other written
agreements.
By submitting payment information or signing a paid agreement, you authorize OneHolo or its payment
processor to charge applicable amounts. You are responsible for all taxes, duties, and governmental
charges unless otherwise stated in writing.
11. Confidentiality and Restricted Materials
OneHolo materials may include confidential, proprietary, technical, financial, strategic, operational,
investor, vendor, customer, pricing, product, intellectual property, and trade-secret information.
Access to confidential or restricted materials is conditioned on compliance with applicable
confidentiality, non-use, non-disclosure, non-circumvention, and data-security obligations.
You agree not to:
- Copy, forward, publish, upload, scrape, summarize publicly, or distribute restricted OneHolo materials without written permission;
- Use OneHolo materials to compete with, circumvent, reverse engineer, or misappropriate OneHolo concepts, workflows, business models, software, interfaces, or product designs;
- Upload confidential OneHolo materials to public AI tools, public repositories, or non-approved third-party systems;
- Disclose portal access credentials or allow unauthorized access to restricted materials;
- Use OneHolo materials for any purpose other than the authorized evaluation, pilot, customer, investment, partnership, vendor, or service relationship.
12. Intellectual Property
OneHolo owns or controls all rights, title, and interest in and to OneHolo.ai, OneHolo branding,
software concepts, workflows, interfaces, visual assets, documentation, technical materials, scripts,
designs, trade dress, demonstrations, data room materials, business plans, pricing models, product
strategies, and related intellectual property, except for third-party materials used under license or
with permission.
No rights are granted to you except the limited, revocable, non-exclusive, non-transferable right to
access and use OneHolo materials for the purpose expressly authorized by OneHolo. No license,
assignment, ownership interest, or implied right is granted by your access to the website, portal,
data room, pilot materials, or demonstrations.
OneHolo may pursue trademark, copyright, patent, trade-secret, contractual, and other intellectual
property protections. Unauthorized copying, reproduction, reverse engineering, circumvention,
derivative development, or competitive use is prohibited.
13. User Content, Submissions, and Feedback
You may submit information, forms, messages, documents, workflow details, practice details, business
requirements, feedback, ideas, suggestions, or other content to OneHolo. You represent that you have
all rights and permissions required to submit such content.
Unless otherwise agreed in writing, you grant OneHolo a non-exclusive, worldwide, royalty-free right
to use submitted content to evaluate your request, provide services, configure workflows, improve
products, support pilots, communicate with you, and operate the business. OneHolo may use feedback,
suggestions, and ideas without restriction or compensation, provided that OneHolo does not disclose
your confidential information except as permitted by law or agreement.
14. Privacy and Data
OneHolo's collection, use, storage, disclosure, and protection of personal information are governed
by its Privacy Policy and any applicable written agreements. You should review the Privacy Policy
before submitting personal information, customer information, patient information, investor information,
practice information, payment information, or other sensitive data.
Depending on how OneHolo is configured and used, additional privacy, healthcare, consumer-protection,
business, contractual, state, federal, or international requirements may apply. Customers and pilot
offices are responsible for ensuring their own use of OneHolo complies with applicable privacy and
data-protection obligations.
14.1 Sensitive Information
Do not submit protected health information, payment card data, financial account information,
government identification numbers, passwords, biometric information, or other sensitive data unless
OneHolo has expressly authorized that submission in writing and appropriate safeguards are in place.
14.2 HIPAA and Healthcare Data
OneHolo is not automatically a HIPAA business associate merely because it is used by a healthcare-related
business. Any HIPAA-related obligations must be addressed in a separate written agreement, including a
business associate agreement where required.
15. Security and Acceptable Use
You agree not to use OneHolo.ai or any OneHolo service to:
- Violate any law, regulation, third-party right, contract, or professional obligation;
- Access, copy, scrape, scan, probe, or test systems without authorization;
- Bypass access controls, authentication, document gates, watermarking, or download restrictions;
- Upload malware, spyware, ransomware, malicious code, or harmful content;
- Impersonate any person, investor, patient, customer, business, or representative;
- Generate fake reviews, deceptive testimonials, fraudulent communications, or misleading AI outputs;
- Interfere with service availability, security, infrastructure, or other users;
- Use OneHolo to make clinical, legal, financial, emergency, or high-risk decisions without required human oversight.
OneHolo may monitor access, log activity, watermark documents, revoke access, restrict downloads,
investigate misuse, and cooperate with legal authorities where appropriate.
16. Third-Party Services, Integrations, and Hardware
OneHolo may use or integrate with third-party software, hardware, AI models, cloud infrastructure,
communications tools, payment processors, e-signature tools, CRM systems, practice-management systems,
scheduling systems, analytics platforms, or device vendors.
OneHolo is not responsible for third-party services, outages, errors, pricing, security incidents,
data practices, content, hardware defects, or changes unless expressly stated in a written agreement.
Use of third-party services may be subject to separate third-party terms and privacy policies.
17. Disclaimers
To the maximum extent permitted by law, OneHolo.ai, the investor portal, data room, customer pages,
pilot materials, demonstrations, software-enabled services, AI outputs, and related content are
provided "as is" and "as available," without warranties of any kind, whether express, implied,
statutory, or otherwise.
OneHolo does not warrant that the services will be uninterrupted, error-free, secure, accurate,
complete, compatible with all systems, commercially successful, compliant for every use case, or
suitable for any particular business, clinical, legal, investment, operational, or financial purpose.
OneHolo does not guarantee revenue, cost savings, staff replacement, lead conversion, investor returns,
valuation, regulatory approval, clinical outcomes, customer satisfaction, patient satisfaction, or
business performance.
18. Limitation of Liability
To the maximum extent permitted by law, OneHolo and its officers, directors, employees, contractors,
representatives, affiliates, vendors, and service providers will not be liable for indirect, incidental,
special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue,
lost data, business interruption, goodwill loss, reputational harm, investment loss, or loss of business
opportunity, whether based in contract, tort, negligence, strict liability, warranty, statute, or any
other legal theory.
To the maximum extent permitted by law, OneHolo's aggregate liability for any claim arising out of or
relating to these Terms, the website, customer pages, investor portal, data room, pilot materials, or
services will not exceed the amount permitted by applicable law and any limitation stated in the
controlling signed agreement. If no signed agreement applies, OneHolo's aggregate liability will be
limited to the minimum amount permitted by applicable law.
19. Indemnification
You agree to defend, indemnify, and hold harmless OneHolo and its officers, directors, employees,
contractors, representatives, affiliates, vendors, and service providers from and against all claims,
damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of
or relating to:
- Your access to or use of OneHolo.ai, the investor portal, customer pages, data room, or services;
- Your breach of these Terms or any applicable agreement;
- Your violation of law, regulation, professional obligation, or third-party right;
- Your misuse of confidential materials, AI outputs, pilot tools, or third-party integrations;
- Your submitted content, configuration instructions, scripts, workflows, or data;
- Your business's use of OneHolo in customer-facing, healthcare-adjacent, financial, regulated, or high-risk settings.
20. Suspension, Revocation, and Termination
OneHolo may suspend, limit, revoke, or terminate access to the website, customer pages, investor portal,
data room, services, pilot materials, accounts, or documents at any time if OneHolo believes you have
violated these Terms, breached confidentiality, misused materials, created security risk, provided
inaccurate information, violated law, or otherwise created risk to OneHolo or others.
Upon termination or revocation, you must stop using OneHolo materials and, upon request, return or
destroy confidential materials as required by applicable agreements.
21. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law
principles, unless a separate signed agreement states otherwise.
Any dispute arising out of or relating to these Terms, OneHolo.ai, the investor portal, customer pages,
data room, or related services will be resolved in the state or federal courts located in Delaware,
unless another forum or dispute-resolution procedure is required by a separate signed agreement.
You consent to personal jurisdiction and venue in those courts and waive objections based on forum,
venue, or inconvenience, to the extent permitted by law.
22. Changes to These Terms
OneHolo may update these Terms from time to time. The updated version will be posted on OneHolo.ai
with a revised effective date. Your continued use of OneHolo.ai, the investor portal, customer pages,
data room, or services after updated Terms are posted means you accept the updated Terms.
Material changes to paid services, pilot terms, subscriptions, or transaction documents may require
separate written agreement or notice depending on the applicable relationship and governing documents.
